Other Service Terms

ARTICLE 1 – PURPOSE AND SCOPE

These Terms (“Other Services Terms”) govern all services, products, and solutions that Pho Tue Software Solutions JSC (“the Company”) provides to Customers (“Lessee”) that are not specifically addressed in the Terms documents for groups A through F. These services may include, but are not limited to:

ARTICLE 2 - GENERAL TERMS FOR ALL ADDITIONAL SERVICES

2.1 Requirement confirmation

All service requests must be confirmed in writing (by email or through the Company's ticket system). Quotations are valid for 15 days from the date of issue. The Company begins work after receiving order confirmation and payment (where a deposit is required).

2.2 Delivery timeline

The delivery timeline is set out in the quotation or the supplementary contract. Where it is not expressly stated:

  • Simple services (domains, SSL, DNS): completed within 1–2 working days.
  • Medium services (CDN, WAF, security scanning): 3–7 business days.
  • Complex services (VAPT, training, IT outsourcing): by separate agreement.

ARTICLE 3 – TECHNOLOGY CONSULTING

3.1 Scope of consulting

The Company provides technology strategy consulting services covering: assessment of the current state of IT infrastructure, a proposed digital transformation roadmap, system architecture design, cloud cost optimization, and disaster recovery planning.

ARTICLE 4 – DOMAIN AND SSL SERVICES

4.1 Domains

  • The domain is registered in the Lessee's name; the Company acts as registration agent.
  • The Lessee owns the domain and may transfer it to another registrar at any time.
  • The Company is not liable if a domain is cancelled because the Lessee failed to renew it in time.
  • .vn domains follow VNNIC rules; international domains follow ICANN policy.

4.2 SSL/TLS certificates

  • Certificate term: 1 year (DV, OV, EV) or 90 days (Let's Encrypt with automatic renewal).
  • The Company provides certificate installation and configuration on the Lessee's server.
  • The Lessee is responsible for providing server access for installation.

ARTICLE 5 - VULNERABILITY SCANNING SERVICES (VAPT)

VAPT services are performed to international standards:

  • OWASP Testing Guide v4.2 for web applications.
  • PTES (Penetration Testing Execution Standard) for network infrastructure.
  • NIST SP 800-115 for information system security testing.

Results are reported in the following format: an Executive Summary (for management) plus a Technical Report (for the IT team). The Company does not disclose test results to third parties. The Client must issue a written authorization (a “Letter of Authorization”) before testing begins.

ARTICLE 7 - IT STAFF OUTSOURCING

The Company provides IT staff outsourcing services covering: System Administrator, DevOps Engineer, Network Engineer, Security Engineer, Software Developer and IT Support.

7.1 Specific provisions

  • Outsourced personnel sign an employment contract with the Company and work under the technical direction of the Hiring Party.
  • The Hiring Party may not directly recruit outsourced personnel during the contract term or for 12 months after termination (non-solicitation clause).
  • All outsourced personnel sign an NDA covering the Lessee's information.
  • The Company is responsible for personal income tax, social insurance and other labor obligations under Vietnamese law.

ARTICLE 8 – PAYMENT

8.1 General payment terms

  • Payment is due within 15 days of the invoice date, unless otherwise agreed.
  • Late payment: a late payment penalty of 0.05% per day on the outstanding amount (under Article 306 of the Commercial Law 2005 (Luật Thương mại 2005)).
  • The Company may suspend the service if payment is more than 15 days overdue after notice.

8.2 Accepted payment methods

  • Bank transfer (preferred).
  • Credit and debit cards (Visa, Mastercard, JCB) through a secure payment gateway.
  • E-wallets (MoMo, ZaloPay, VNPay) for transactions under VND 100 million.

ARTICLE 9 – SECURITY AND DATA PROTECTION

All information, technical documentation, and data of the Lessee accessed in the course of providing the service is kept confidential by the Company in accordance with Decree 13/2023/NĐ-CP and the Non-Disclosure Agreement (NDA) accompanying the contract. Project personnel access data only to the minimum extent necessary (principle of least privilege).

ARTICLE 10 – LIMITATION OF LIABILITY

  • The Company's total liability for any claim shall not exceed the value of the services paid for in the preceding 3 months.
  • The Company shall not be liable for indirect damages, lost revenue, or data loss falling outside the direct scope of the service.
  • For consulting services: the Company provides professional opinions based on the information supplied; the decision to act rests with the Client.

ARTICLE 11 – SERVICE TERMINATION

11.1 Ordinary termination

Either party may terminate the service contract on at least 30 days' written notice, unless the contract provides otherwise. The Client pays in full the service fees corresponding to the period already used.

11.2 Termination for breach

The Company has the right to terminate the contract immediately if the Client materially breaches these Terms or uses the service for unlawful purposes. In that case, the Company has no obligation to refund any fees.

ARTICLE 12 – DISPUTE RESOLUTION

Disputes are resolved first by good-faith negotiation over 30 days. If no agreement is reached, the dispute is resolved by the competent People's Court in Ho Chi Minh City under Vietnamese law.

ARTICLE 13 – MISCELLANEOUS

  • These terms supplement the specific service contract; in the event of conflict, the specific contract prevails.
  • If any provision is held invalid by a court, the remaining provisions stay in force.
  • The Company reserves the right to amend these terms with 30 days' prior notice. Continued use of the service after the notice takes effect constitutes acceptance of the new terms.

ARTICLE 14 – EFFECTIVE DATE

These terms take effect on the date the Client signs the service contract, confirms the order by email, or begins using the service — whichever occurs first.
