Microsoft 365 and Google Workspace Service Terms

ARTICLE 1 – ROLES AND SCOPE

Pho Tue Software Solutions JSC ("Partner CSP") is an officially authorized Partner CSP for Google Workspace and Microsoft 365 in Vietnam. Services provided as a partner include licensing, deployment, data migration, configuration, training, and technical support.

ARTICLE 2 - TERMS RELATING TO THE VENDOR

Google Workspace and Microsoft 365 are provided by Google LLC and Microsoft Corporation (the “Upstream Providers”). The Customer's end-user terms are governed concurrently by:

  • Google Workspace Terms of Service: workspace.google.com/terms/2013/1/premier_terms.html
  • Google Cloud Data Processing Addendum (DPA): workspace.google.com/terms/dpa_terms.html
  • Microsoft Online Services Terms (OST) and Data Protection Addendum (DPA): microsoft.com/licensing/terms
  • A Microsoft Customer Agreement (MCA) or Enterprise Agreement (EA), depending on scale.

A Partner CSP may not modify the terms of the Original Provider. In the event of a conflict between the Original Provider's terms and the Partner CSP's terms, the Original Provider's terms prevail.

ARTICLE 3 – PAYMENT AND RENEWAL

3.1 Billing cycle

  • Annual billing: discounted pricing, with no refund if cancelled mid-term.
  • Monthly billing: flexible, priced higher, and cancellable at the end of the month.

3.2 Automatic renewal

The license renews automatically at the end of the term unless the Customer gives written notice of cancellation at least 30 days before the renewal date. The CSP Partner sends renewal reminders 60 days and 30 days before the renewal date.

3.3 Changing the number of users

  • Increasing the license count: takes effect immediately, prorated over the days remaining in the cycle.
  • Reducing the license count (annual plans): takes effect only at the start of the next renewal cycle.

ARTICLE 4 – DATA MIGRATION

The CSP Partner provides data migration from your existing email system to Google Workspace or Microsoft 365, including:

  • Migrate email, calendars and contacts from Exchange on-premises, Office 365, cPanel/cPMailer and Zimbra.
  • Check DNS (MX, SPF, DKIM, DMARC) and configure it correctly before redirecting email.
  • Perform a phased migration or a cutover migration, as required.
  • Guarantees zero email loss during migration through dual delivery.

ARTICLE 6 – SECURITY AND COMPLIANCE

  • Google Workspace and Microsoft 365 are both ISO 27001 and SOC 2 Type II certified and GDPR compliant.
  • Customer data is encrypted at rest (AES-256) and in transit (TLS 1.2+).
  • The CSP Partner does not access Customer email content or documents without explicit authorization.
  • Aligned with Decree 13/2023/NĐ-CP on personal data protection and the Cybersecurity Law 2018.

ARTICLE 7 - LIMITATION OF LIABILITY

The Partner CSP is not liable for service interruptions caused by incidents on Google's or Microsoft's side. The service SLA (99.9% uptime) applies under the terms of the original Provider. SLA compensation claims must be made directly through Google's or Microsoft's service credit mechanism.

ARTICLE 8 – EFFECTIVE DATE

These terms take effect on the date the Customer signs the contract or begins using the service. The Partner CSP reserves the right to amend them with 30 days' prior notice.
